Our Commitment to Confidentiality
At Ari Accounting Texas, we understand that your financial, operational, and patient data is highly sensitive. As a healthcare-focused CPA firm, we are bound by professional ethics, state regulations, and federal laws (including HIPAA where applicable) to protect your information.
We will never disclose your confidential information to third parties without your written consent, except as required by law or professional standards.
When We Use NDAs
We may request a signed Non-Disclosure Agreement (NDA) in the following situations:
- Before receiving sensitive financial records for a prospective engagement
- When sharing proprietary methodologies or audit preparation materials
- During the onboarding of new clients who require additional assurance
- When collaborating with third-party vendors who need access to client data (they must also sign NDAs)
Our Standard NDA Terms
Our standard Mutual Non-Disclosure Agreement includes:
- Definition of Confidential Information: All financial records, cost reports, tax documents, patient data, and business strategies.
- Obligations: Both parties agree to use confidential information only for the purpose of the engagement and to protect it with reasonable care.
- Exclusions: Information that is publicly available, already known, or independently developed.
- Term: Typically 2 years from the date of disclosure, or indefinitely for trade secrets.
- Return of Materials: Upon request, all confidential materials must be returned or destroyed.
Legal and Regulatory Compliance
In addition to contractual NDAs, we comply with:
- Gramm-Leach-Bliley Act (GLBA): Protecting non-public personal information.
- HIPAA Privacy Rule: For clients who are covered entities or business associates.
- Texas Administrative Code: Rules of the Texas State Board of Public Accountancy.
- AICPA Code of Professional Conduct: Confidential client information rule.
